Subscription Agreement for Maveriq Accounting App

Effective Date: September 07, 2025

This Subscription Agreement ("Agreement") is entered into between Maveriq Interactive Technologies Inc., a company incorporated under the laws of Seychelles, with its registered office at 2nd Floor, Oliaji Trade Centre, Mahe, Victoria, Seychelles ("Maveriq," "we," "us," or "our") and you, the end user ("Subscriber," "you," or "your"). This Agreement governs your subscription to and use of the Maveriq Accounting App.

By subscribing to or using the Service, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not subscribe to or use the Service.

1. Subscription Term and Renewal

1.1 Term: Your subscription to the Service begins upon activation and remains valid until canceled by you or terminated by Maveriq in accordance with this Agreement.

1.2 Automatic Renewal: Unless canceled, your subscription will automatically renew at the end of each billing cycle (monthly or quarterly, depending on your selected plan) under the same terms, at the then-current rate for the subscribed plan.

2. Termination

2.1 Termination by Subscriber: You may cancel your subscription at any time through the account settings in the Service or by contacting us at support@maveriqapp.com. Cancellation will take effect at the end of the current billing cycle, and no further charges will be applied.

2.2 Termination by Maveriq: Maveriq may terminate or suspend your subscription at our sole discretion for the following reasons:

  • Non-payment of subscription fees for three (3) months or more.
  • Violation of this Agreement, including misuse of the Service or breach of applicable laws.
  • Fraudulent activity, unauthorized use, or suspected security threats to the Service.
  • Any other conduct that, in our reasonable judgment, harms the Service or other users.

2.3 Effect of Termination: Upon termination, your access to the Service will cease, subject to the provisions in Section 3 (Payment and Arrears). You remain liable for any outstanding subscription fees or other charges incurred prior to termination.

3. Payment and Arrears

3.1 Subscription Fees: You agree to pay the applicable subscription fees for the Service as outlined at the time of subscription. Fees are charged in advance of each billing cycle and are non-refundable except as expressly provided in this Agreement.

3.2 Arrears: You will retain access to the Service provided that any outstanding subscription fees (arrears) do not exceed three (3) months’ worth of subscription amounts.

3.3 Grace Period: If payment is not received for three (3) months worth of subscriptions, a grace period of three (3) days will commence. During this grace period, you may settle all arrears to maintain active access to the Service.

3.4 Account Deactivation: If payment remains outstanding after the three (3)-day grace period, your account will be deactivated. To resume usage, you must pay all arrears in full to reactivate your account.

3.5 Account Deletion: If payment is not received within fifteen (15) days from the start of the grace period, your account and all associated data will be permanently deleted from the Service. Maveriq is not responsible for any loss of data resulting from such deletion.

3.6 Payment Methods: You authorize us to charge your selected payment method for all applicable fees. You are responsible for maintaining valid and updated payment information. If a payment fails, we will attempt to notify you, and you must provide an alternative payment method within the grace period to avoid deactivation.

4. Subscription Modifications

4.1 Upgrades: You may upgrade your subscription plan at any time. You will be charged the difference between your current plan and the upgraded plan, prorated for the remainder of the current billing cycle. The subscription start date will remain unchanged, and the subscription will renew at the upgraded plan’s rate.

4.2 Downgrades: You may downgrade your subscription plan, but the downgrade will only take effect at the start of the next billing cycle. No refunds or credits will be provided for the remaining duration of the current billing cycle, and you will continue to have access to the existing plan’s features until it expires.

4.3 Upsells (Additional Features): You may purchase additional features within your existing plan, such as extra storage or additional user licenses, at any time. Charges for upsells will be applied immediately and added to your next billing cycle. Upsells do not affect the subscription start date or renewal terms.

5. Use of the Service

5.1 License: Subject to your compliance with this Agreement, Maveriq grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business accounting purposes.

5.2 Restrictions: You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Reverse engineer, decompile, or attempt to access the source code of the Service.
  • Share your account credentials or allow unauthorized access to the Service.
  • Use the Service to store or process sensitive data not intended for the Service’s functionality.

6. Data and Privacy

6.1 Data Ownership: You retain ownership of all data you input into the Service ("User Data"). By using the Service, you grant Maveriq a non-exclusive, worldwide, royalty-free license to use, store, and process User Data solely to provide and improve the Service.

6.2 Privacy Policy: Our collection, use, and sharing of your personal information are governed by our Privacy Policy, available at www.maveriqaccounting.com/mvrq_privacy_policy. You acknowledge that you have reviewed and agree to the Privacy Policy.

6.3 Data Deletion: Upon account deletion (as described in Section 3.5), all User Data will be permanently removed from our systems, except as required by law or for backup purposes. We are not liable for any loss of User Data following deletion.

7. Intellectual Property

All content, features, and functionality of the Service, including software, designs, and trademarks, are owned by or licensed to Maveriq and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from the Service without our prior written consent.

8. Disclaimers

8.1 As-Is Basis: The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Accuracy: While we strive to ensure the accuracy of the Service’s features (e.g., financial calculations or reports), we do not guarantee that the Service will be error-free or suitable for your specific needs. You are responsible for verifying the accuracy of any outputs.

8.3 Third-Party Services: The Service may integrate with third-party services (e.g., bank APIs or payment processors). We are not responsible for the performance, availability, or practices of such third parties.

9. Limitation of Liability

To the maximum extent permitted by law, Maveriq and its affiliates, officers, directors, employees, or agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Service, including loss of data, profits, or business opportunities. Our total liability under this Agreement will not exceed the subscription fees paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Maveriq and its affiliates, officers, directors, employees, and agents from any claims, damages, or losses arising from your use of the Service, violation of this Agreement, or infringement of any third-party rights.

11. Governing Law and Dispute Resolution

11.1 Governing Law: This Agreement is governed by the laws of Seychelles, without regard to its conflict of laws principles.

11.2 Dispute Resolution: Any disputes arising under this Agreement will be resolved through binding arbitration in Seychelles under the rules of the Seychelles International Arbitration Centre. The arbitration will be conducted in English, and the arbitrator’s decision will be final and binding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Miscellaneous

12.1 Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Maveriq regarding the Service and supersedes any prior agreements.

12.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Assignment: You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.

12.4 Force Majeure: Maveriq will not be liable for any failure to perform due to causes beyond our reasonable control, such as natural disasters, wars, or technical failures.
